Kinora's Terms of Service, including the Text Message (SMS) Program disclosures: what we send, how you come to receive it, message frequency, message and data rates, and how to stop.
1. Acceptance of Terms
By accessing or using Kinora ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 13 years old. If you are under the age of majority where you live, you may use Kinora only with permission and supervision from a parent or legal guardian.
2. Account Terms
When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.
Your Responsibilities
You are responsible for safeguarding your password and any activities under your account.
You must notify us immediately upon becoming aware of any breach of security or unauthorized use.
You may not use a username that is offensive, misleading, or infringes on others' rights.
You may not use the Service for any illegal or unauthorized purpose.
Account Termination
We reserve the right to suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion.
3. User Content
Our Service allows you to post, upload, link, store, share, and otherwise make available photos, videos, files, text, messages, comments, plans, and other material ("Content").
Your Rights
You retain the rights you have in your Content. By posting or uploading Content, you grant Kinora a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, resize, transcode, create thumbnails or previews, display, transmit, share with people you authorize, moderate, remove, and otherwise use your Content as needed to operate, secure, improve, and provide the Service.
This license continues for as long as your Content remains on Kinora, including in backups and shared memories, and ends when the Content is deleted except where continued use is needed for legal, safety, backup, dispute, audit, or enforcement purposes.
Your Upload Promises
You are solely responsible for the Content you upload and share. You represent and warrant that:
You own the Content or have all rights, licenses, and permissions needed to upload and share it on Kinora.
Your Content does not violate any copyright, trademark, privacy, publicity, contract, confidentiality, or other rights of another person or organization.
You have appropriate permission to upload and share photos or videos of other people, especially minors.
Your Content and your use of Kinora comply with these Terms and all applicable laws.
Content Standards
You agree not to post Content that:
Is unlawful, harmful, threatening, abusive, harassing, defamatory, hateful, violent, exploitative, deceptive, or invasive of privacy
Contains child sexual abuse material, sexual exploitation of minors, grooming, sextortion, or any sexual content involving minors
Contains non-consensual intimate imagery, sexual extortion, revenge porn, or private images shared without permission
Promotes self-harm, terrorism, violent extremism, human trafficking, or credible threats of violence
Doxxes, stalks, or reveals private information about another person without permission
Infringes any patent, trademark, trade secret, copyright, privacy, publicity, or other rights
Contains software viruses or any other code designed to disrupt the Service
Impersonates any person or entity or misrepresents your affiliation
Contains unsolicited advertising, promotional materials, or spam
Content Removal
We reserve the right, but not the obligation, to review, restrict, preserve, disclose, remove, or refuse Content that violates these Terms, infringes rights, threatens safety, creates legal risk, or is otherwise objectionable. We may also suspend or terminate accounts involved in serious or repeated violations.
4. Intellectual Property
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Kinora Inc. and its licensors.
Trademarks
The Kinora name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Kinora Inc. You may not use such marks without our prior written permission.
Feedback
Any feedback, comments, or suggestions you provide regarding Kinora may be used by us without any obligation to you.
5. Copyright Complaints & Repeat Infringers
If you believe Content on Kinora infringes your copyright, email a notice to dmca@kinoramemories.com with enough information for us to identify the copyrighted work, locate the allegedly infringing Content, contact you, and understand your good-faith basis for the complaint.
Your notice should include your physical or electronic signature, identification of the copyrighted work, the URL or other location of the allegedly infringing Content, your contact information, a statement that you have a good-faith belief the use is not authorized, and a statement under penalty of perjury that the information in the notice is accurate and that you are authorized to act for the copyright owner.
If your Content was removed because of a copyright complaint, you may send a counter-notice to dmca@kinoramemories.com. We may remove or disable access to allegedly infringing Content and terminate accounts of repeat infringers in appropriate circumstances.
Report abusive content, privacy violations, non-consensual imagery, harassment, impersonation, suspected child exploitation, or other safety concerns to abuse@kinoramemories.com. Include the relevant memory, account, link, file, screenshot, and a short explanation so we can investigate.
If we become aware of apparent child sexual abuse material or exploitation, we may remove the content, preserve relevant information, disable accounts, and report to the National Center for Missing & Exploited Children, law enforcement, or other authorities as required or permitted by law.
For urgent danger or emergencies, contact local emergency services first. Kinora support channels are not monitored as emergency hotlines.
7. Privacy
Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information.
By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.
8. Text Message (SMS) Program
Program name: Kinora Event Notifications.
What we send. After you opt in on an event's invite page, Kinora sends transactional text messages about that event: plan updates, requests to RSVP or vote on proposed dates, and reminders as the event approaches. You can reply to some of these messages to cast your vote. Kinora does not send the initial invitation. Kinora does not send marketing or promotional text messages, and we never sell, rent, or share your phone number with third parties for their own marketing.
How you come to receive them. There is one way, and only the person who owns the number can start it:
You opt in yourself, on the invite page. Someone organizing an event shares its invite link with you through their own channel — their text app, email, or a messaging app. Kinora does not send that first message. Opening the link shows the event's invite page, which needs no Kinora account to view. On that page you can enter your own mobile number and tick an unchecked box to receive texts about that event. Only then is your consent recorded, and only numbers with such a record are ever texted.
Nobody can opt in on your behalf. An event organizer can enter your number to invite you, and Kinora records that they did so — but that does not make your number textable. Kinora will not send you a text until you have opted in yourself on the invite page. If you have a Kinora account, the SMS switch in your notification settings controls whether we use texts for a number that has already opted in; turning it on is not itself an opt-in and does not make an un-opted-in number textable.
Message frequency. Frequency varies and depends on the events you are part of. Most recipients receive a small number of messages per event — typically occasional updates, voting or RSVP requests, and a reminder.
Cost. Kinora does not charge for text messages. Message and data rates may apply depending on your mobile plan and carrier.
Opting out. Reply STOP to any Kinora message to stop all further texts to that number. You will receive one confirmation message, and nothing after it. You can also reply UNSUBSCRIBE, CANCEL, END, or QUIT. To start again, reply START. Opting out of texts does not delete your Kinora account or stop email notifications, which are managed separately in your account settings.
Getting help. Reply HELP to any Kinora message for assistance, or email support@kinoramemories.com.
Carriers. Mobile carriers are not liable for delayed or undelivered messages. Delivery is not guaranteed and depends on your carrier and device.
Supported carriers. Kinora sends to major US carriers. Availability may vary by carrier and is subject to change.
Your phone number is handled as described in our Privacy Policy.
9. Prohibited Uses
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
Use the Service in any way that violates any applicable law or regulation
Exploit, harm, or attempt to exploit or harm minors
Upload or share Content you do not have the right to share
Upload private, intimate, identifying, or sensitive images of another person without permission
Harass, threaten, dox, stalk, defame, intimidate, or impersonate another person
Use Kinora to coordinate violence, exploitation, trafficking, scams, fraud, or illegal activity
Send any advertising or promotional material without our prior consent
Impersonate or attempt to impersonate Kinora, an employee, another user, or any other person
Engage in any conduct that restricts or inhibits anyone's use of the Service
Use any robot, spider, or other automatic device to access the Service
Introduce any viruses, trojan horses, worms, or other malicious material
Attempt to gain unauthorized access to any part of the Service
Attack the Service via a denial-of-service attack or distributed denial-of-service attack
Otherwise attempt to interfere with the proper working of the Service
10. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may discontinue using the Service, use account deletion tools where available, or contact us to delete your account.
Effect of Termination
All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, Content licenses for retained/shared/backed-up Content, warranty disclaimers, indemnity, and limitations of liability.
11. Disclaimers
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied.
Kinora does not warrant that:
The Service will function uninterrupted, secure, or available at any particular time or location
Any errors or defects will be corrected
The Service is free of viruses or other harmful components
The results of using the Service will meet your requirements
Kinora does not control or endorse user Content and is not responsible for user Content, guest links, third-party services, or events planned by users. You are responsible for confirming travel, venue, payment, health, safety, permission, and legal requirements for your own plans.
12. Limitation of Liability
In no event shall Kinora, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:
Loss of profits, data, use, goodwill, or other intangible losses
Resulting from your access to or use of (or inability to access or use) the Service
Any conduct or content of any third party on the Service
Any content obtained from the Service
Unauthorized access, use, or alteration of your transmissions or content
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Kinora and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:
Your use of and access to the Service
Your violation of any term of these Terms
Your Content, uploads, invitations, guest links, messages, or events
Your violation of any third-party right, including intellectual property or privacy rights
Any claim that your Content caused damage to a third party
14. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.
15. Dispute Resolution
Informal Resolution
Before filing a claim against Kinora, you agree to try to resolve the dispute informally by contacting us at legal@kinoramemories.com. We'll try to resolve the dispute within 30 days.
Arbitration
If we cannot resolve the dispute informally, you and Kinora agree to resolve any claims through final and binding arbitration, except as set forth below. The American Arbitration Association (AAA) will administer the arbitration under its Commercial Arbitration Rules.
Exceptions
Either party may bring a lawsuit in court for claims related to intellectual property or unauthorized access to the Service.
No Class Actions
You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or class member in a class, consolidated, or representative action.
16. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
